End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (either an individual employee, contractor, or installer authorized by Hollend Furnishings Ltd.) and Hollend Furnishings Ltd. (“Hollend”) for the use of the Hollend ERP System and its associated integrations, including the QuickBooks Online integration module.

IMPORTANT NOTICE: By logging into, installing, copying, or otherwise using the Hollend ERP System, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use the software.

1. Grant of License

Hollend grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Hollend ERP System on compatible workstations solely for the internal business operations of Hollend Furnishings Ltd.

2. Intellectual Property Rights

All title, ownership rights, and intellectual property rights in and to the Hollend ERP System (including but not limited to the source code, user interface designs, database structures, graphics, and documentation) are owned by Hollend Furnishings Ltd. This software is protected by copyright laws and international treaty provisions.

3. Restrictions on Use

Except as explicitly authorized in this Agreement or by Hollend management in writing, you shall not:

  • Reverse engineer, decompile, disassemble, or derive source code from the software.
  • Modify, adapt, translate, or create derivative works based on the software.
  • Distribute, sell, lease, sublicense, or transfer the software to any third party.
  • Use the software for any purpose that violates municipal, provincial, federal, or international laws.

4. QuickBooks Online Synchronization

This software integrates with QuickBooks Online via APIs. You acknowledge and agree that:

  • Use of the integration requires valid QuickBooks Online developer credentials and customer consent.
  • Synchronization outcomes rely on data validity on both the local ERP database and Intuit’s API endpoints.
  • You are responsible for safeguarding any API Client Secrets and authorization keys entered into the software.

5. Termination

This Agreement and your license to use the software are effective until terminated. Your rights under this Agreement will terminate automatically without notice from Hollend if you fail to comply with any term of this Agreement, or if your employment or contractor agreement with Hollend is terminated.

Upon termination, you must cease all use of the Hollend ERP System and delete or destroy all local copies of any associated documentation or credentials.

6. Disclaimer of Warranties

The Hollend ERP System is provided “as is” and “as available,” with all faults and without warranty of any kind. Hollend hereby disclaims all warranties and conditions with respect to the software, either express, implied, or statutory, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be resolved in the courts of Ontario.
