Terms of Service

Welcome to the Hollend Furnishings ERP System. By using this software, including its QuickBooks Online integration, you agree to comply with and be bound by the following Terms of Service. Please read them carefully.
1. Acceptance of Terms
By accessing the Hollend ERP System and activating the QuickBooks Online integration, you represent that you are an authorized representative of Hollend Furnishings Ltd. with the authority to link your QuickBooks ledger, and that you agree to these Terms. If you do not agree, you must immediately disconnect the integration.
2. Description of Service
The Hollend ERP System is an internal management tool designed to track projects, logistics, shipping margins, and OECM manufacturer agreements. The QuickBooks Online integration allows the ERP to send and synchronize financial objects (Invoices, Customers, Bills, and Vendor Credits) to Intuit’s servers. We reserve the right to modify, suspend, or discontinue any part of the service at any time without notice.
3. Credential Security & Authorization
To integrate with QuickBooks Online, you must provide API credentials (Client ID and Client Secret). You are responsible for:
- Maintaining the confidentiality of your credentials and API keys.
- All activities that occur under your QuickBooks developer account.
- Promptly notifying your system administrator of any unauthorized credentials access or suspected data breaches.
4. Sync Restrictions and Accuracy
The integration compiles invoices and bills based on local records and OECM rates before pushing them to QuickBooks Online. It is the user’s responsibility to review transactions in QuickBooks after a sync to ensure ledger accuracy.
Limitation of Liability: To the maximum extent permitted by applicable law, Hollend Furnishings Ltd. and its developers shall not be liable for any direct, indirect, incidental, or consequential damages resulting from QuickBooks API sync errors, data transmission delays, ledger mismatches, rate differences, or system downtime.
5. Intuit Platform Compliance
This integration is subject to Intuit’s Developer Terms and Conditions. Disruption in QuickBooks Online’s service, changes to Intuit’s API endpoints, or revocation of token privileges by Intuit may affect or disable the sync features. We are not responsible for compatibility issues arising from third-party API changes.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any legal action arising from these Terms must be filed in the courts located in Ontario.
7. Changes to Terms
We may update these Terms of Service periodically. We will denote the date of the latest changes at the top of this document. Continued use of the ERP and QuickBooks integration after updates constitute acceptance of the modified Terms.
